 GCKI Pit Space Lease Terms, Conditions and Agreement

This rental agreement is made this day, between Gulf Coast Karters, Inc. , with its office located at 1628 Wrenwood Lakes, Houston, Tx 77043, referred to herein as Lessor, and (Lessee-Guest) referred to herein as Lessee.
Lessor leases to Lessee and Lessee leases from Lessor, for the term of this agreement, a Pit Spot as denoted on the GCKI website and being hereafter referred to as Pit Spot (whether one or more), and pursuant to the following terms and conditions:

1. Rent: Lessee agrees to pay in advance as rental $100 per pit spot per month payable without demand, online through the GCKI website.
2. Lessee:  Only GCKI Master Members are eligible to lease and retain pit spots.
3. Representations:  Lessor makes no warranties or representations regarding the suitability of these pit spaces for any use including but not limited to the long term storage of trailers or equipment or for its security or protection against theft, flood, weather or anything else.      
4. Access to space:  GCKI is a member owned Kart club and expects members to respect the terms of this agreement and to work with Lessees to maintain access their pit spots.  GCKI may host events on the property and may require lessees to relocate trailers and equipment for these events.  Lessee will provide at minimum of 1 month notice for these events and appreciates lessee’s cooperation to help with these events.  This may require moving trailers and equipment on site and may also include relocating trailers offsite.
5. Utilities/Cleaning: Electricity is available to lessors while on property but lessor agrees to disconnect power when not on site.  Violations are subject to termination of lease at GCKI BOD discretion.
6. Assignment and Subletting: Lessee shall not sublet the Pit Spots, or any part of the Premises, or assign this agreement without Lessor’s prior, express, and written consent.  
7. Default: Any failure by Lessee to pay the lease or renew the lease promptly when due or to comply with any other term or condition of this agreement including maintaining master membership of GCKI shall, at the option of Lessor, promptly terminate this tenancy and forfeit all rights of Lessee under this agreement. No refunds of rent are available for spots not used through the term or for early terminations for whatever reason.
8. Maintenance and Redelivery of Pit Spot: Lessee shall keep and maintain the Pit Spot in a clean and sanitary condition at all times, and on the expiration or earlier termination of the tenancy shall surrender the Pit Spot to Lessor in as good condition as when received, ordinary wear and tear and damage by the elements excepted.
9. Renewals and access to Pit Spots: Lessor reserves the right to terminate leases and terminate rights to renewals at will.  Lessee can renew leases for the Pit Spot if available during the month of December.  Pit spots not leased and not renewed are available to GCKI members on a first come first serve basis.  The limited number of pit spots available and the location of pit spots on the property are determined by the elected GCKI board of directors.  Certain considerations may be made for matching the size of trailers with spots available.  All available pit spots will be marked for easy identification of space and name of lessor.
10. Indemnification: Lessee shall indemnify, defend, and hold Lessor harmless from any and all claims and damages (including reasonable attorney’s fees and costs) arising from Lessee’s use of the Pit Spot or from any activity permitted by Lessee in or about the Pit Spot unless caused by the gross negligence or willful misconduct of Lessor. Lessee shall further indemnify, defend, and hold Lessor harmless from any and all claims and damages (including reasonable attorney’s fees and costs) arising from any breach or default in the terms of this agreement or arising from any act, negligence, fault, or omission of Lessee and from and against any and all costs, reasonable attorney’s fees, expenses, and liabilities incurred on or about such claim or any action or proceeding brought on such claim. In case any action or proceeding shall be brought against Lessor by reason of any such claim, Lessee, on notice from Lessor, shall defend it at Lessee’s expense by counsel approved in writing by Lessor.
11. Mandatory Arbitration: Any dispute under this agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
12. Governing Law: This agreement shall be governed by, construed, and enforced in accordance with the laws of the state of Texas.
13. Waivers: Waiver by Lessor of any breach of any covenant or duty of Lessee under this agreement is not a waiver of a breach of any other covenant or duty of Lessee, or of any subsequent breach of the same covenant or duty.
14. Counterparts: If this agreement is executed in multiple counterparts, all counterparts taken together constitute this agreement. Copies of signatures to this agreement are effective as original signatures.
